CD Projekt May Be Preparing Against Hostile Takeover

It wasn’t that long ago that we reported on Vivendi trying to take over Ubisoft and their continued fight against that. Now there is another player in the field that needs to defend themselves! CD Project has called for an extraordinary general meeting of shareholders to be held on November the 29th. While that in itself doesn’t point toward a hostile takeover, the schedule for the day does.

There are three points that are to be covered on that extraordinary general meeting of shareholders according to the schedule. There will be a vote on whether or not to allow the company to buy back part of its own shares for 250 million PLN ($64 million) which in itself is a clear indication that sharks are circling the waters. There is also a vote on whether to merge CD Projekt Brands (fully owned subsidiary that holds trademarks to the Witcher and Cyberpunk games) into the holding company and a vote on the change of the company’s statute.

The third point is particularly interesting as the proposed change will put restrictions on the voting ability of shareholders who exceed 20% of the ownership in the company. It will only be lifted if said shareholder makes a call to buy all of the remaining shares for a set price and exceeds 50% of the total vote. According to the company’s board, this is designed to protect the interest of all shareholders in case of a major investor who would try to acquire remaining shares without offering a proper price for them.

Now, it’s everyone’s best guess who’s behind a possible takeover. Some speculate that it could be Vivendi again while other think it might be EA. With games such as The Witcher, the company has a lot of experience and a quality fan base and the upcoming Cyberpunk 2077 could make the stocks rise for a potential buyer to make some easy profit.
